Before You Subscribe: A Checklist for the Opportunity Document

Review a property opportunity’s provider, rights, rental income, fees and exit terms with a practical document checklist before subscribing.

The photograph is attractive, the target return is persuasive and the term looks suitable. What next? Evaluating a real estate opportunity starts with its detailed document, where the figures can be connected to the rights and obligations being accepted. This checklist provides an order for that review beyond the promotional card.

First: who is offering the opportunity?

  • Contracting entity: identify the company’s legal name, commercial registration and the authority of anyone signing or acting for it.
  • Licensing: verify the license relevant to the activity performed. A license for one activity does not establish approval for every other activity or product.
  • Sharia framework: if this matters to you, examine the scope of the documented review and whether it covers the specific structure being assessed.

Second: what right are you purchasing?

  • Is it an ownership interest or a share in a time-limited benefit? Do not assume a benefit automatically provides a share of the underlying property’s sale proceeds.
  • Which property is involved, and when does the right begin and end?
  • How is the interest evidenced, and what document will you receive?
  • Who can make decisions about leasing, expenses and exit?

Describe the right in one sentence. If you cannot, request clarification before moving to the projected return.

Third: where does income come from?

  • Tenant numbers and each tenant’s contribution to rent, distinguishing the number of units from the number of parties responsible for payment.
  • Lease durations and expiry dates compared with the duration of your right.
  • Rent due and rent actually collected for the same period.
  • Current occupancy and whether the forecast assumes vacant units will be leased.

Also ask what proportion of income would be affected if the largest tenant stopped paying, and what action would be available. This turns a broad reference to risk into a situation whose impact can be assessed.

Fourth: what is deducted from the figures?

  • Your total initial payment, including upfront fees and any applicable taxes.
  • Expected expenses, recurring charges and the basis of each calculation.
  • Expected cash-flow dates, any retained amounts and entitlements at expiry.
  • The effect of lower collections or higher expenses on the outcome.

Not every fee is a percentage: some may be fixed or use a different calculation basis. Likewise, do not equate net operating income with cash distributed without understanding the difference.

Fifth: how does the right end or transfer?

Review ordinary expiry, early termination, transfers and the charges associated with each. Establish whether exit requires approval or another buyer, and who handles execution and settlement.

Separate what you may request from what another party is obliged to deliver. An option to submit a sale request does not establish immediate execution or a particular price.

Before completing payment

Keep the documents and written explanations used in your assessment, and resolve unclear financial entries. If a promotional summary differs from a contractual clause, ask for an explanation rather than choosing the more attractive wording.

Start with Muder’s terms and risk disclosure, then apply the checklist to the particular opportunity document.
